1. Acceptance of Terms
By accessing and using the Clinic CRM Service ("Service") provided by Evoli Sense ("Company," "we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Evoli Sense.
2. Service Description
Evoli Sense provides a multi-tenant Cloud-based Clinic Customer Relationship Management (CRM) platform designed to help healthcare providers manage patient appointments, electronic medical records (EMR), inventory, and clinic operations. The Service includes:
- Clinic CRM core platform with configurable features based on your subscription plan
- Role-based access control and user management
- Patient appointment scheduling and management
- Electronic medical records (EMR) and patient data management
- Inventory management for medicines and supplies
- Audit logs and compliance reporting
- Customer support as per your subscription plan
- Platform maintenance and updates
3. Eligibility and Accounts
To use the Service, you must:
- Be at least 18 years of age or have legal authority to bind your organization
- Represent and warrant that you have the authority to enter into this Agreement on behalf of your clinic or organization
- Maintain accurate and complete account information
- Keep your password and login credentials secure and confidential
- Promptly notify us of any unauthorized access to your account
You are responsible for all activities that occur under your account. We reserve the right to refuse service or terminate accounts that violate these Terms.
4. Subscriptions, Billing & Renewals
Pricing Plans: Evoli Sense offers the following subscription plans (prices in Indian Rupees):
- Clinic Start: ₹5,999 per month
- Clinic Grow: ₹9,999 per month
- Clinic Enterprise: Custom pricing based on requirements
Billing & Renewal:
- Subscriptions are billed monthly on a recurring basis unless you select a different billing cycle (e.g., yearly).
- For yearly billing, we offer a 2-month discount (equivalent to 10 months of the monthly rate).
- Your subscription automatically renews at the end of each billing period unless you cancel in advance.
- We will send you a renewal reminder at least 7 days before your billing date.
- You are responsible for providing and maintaining valid payment information.
- Applicable taxes (GST, VAT, etc.) will be added to the subscription price as required by law.
- If a payment fails, we may retry the payment or suspend your Service until payment is received.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation is effective at the end of your current billing period. We do not provide refunds for unused portions of your subscription.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the Service. Specifically, you agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Attempt to gain unauthorized access to the Service or its systems
- Disrupt or interfere with the Service's functionality or security
- Use the Service to transmit malware, viruses, or harmful code
- Use the Service for any illegal activities, including fraud or abuse
- Reverse engineer, decompile, or attempt to discover the source code of the Service
- Use automated tools (bots, scrapers) to access or collect data without authorization
- Harass, threaten, or abuse other users or Evoli Sense staff
- Upload or share content that is illegal, defamatory, obscene, or violates others' privacy
- Use the Service for any purpose other than clinic management and patient care
Violations of this Acceptable Use Policy may result in account suspension or termination without notice.
6. Customer Data & Ownership
Your Data: You retain all rights, ownership, and responsibility for any data you upload, create, or store in the Service ("Customer Data"), including patient records, clinic information, and user data.
Our Use of Your Data: You grant Evoli Sense a limited license to access, use, and process your Customer Data solely for the purpose of providing the Service. We do not claim ownership of your data.
Data Processor Role: For patient and healthcare data, Evoli Sense acts as a data processor on your behalf. You remain the data controller responsible for compliance with healthcare regulations.
Data Deletion: Upon account termination, we will securely delete your Customer Data within 30 days unless you request archival or we are required to retain it by law.
7. Intellectual Property & License
Our IP: The Service, including its design, features, functionality, code, and documentation, is the intellectual property of Evoli Sense or its licensors. You may not copy, modify, or create derivative works without our written permission.
Limited License: We grant you a non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms and your subscription plan.
Trademark Use: You may not use Evoli Sense trademarks, logos, or brand names without our prior written consent.
8. Confidentiality
Both parties agree to maintain the confidentiality of sensitive information shared during the course of our business relationship, including but not limited to business strategies, pricing, and technical details. This obligation does not apply to information that is publicly available or required to be disclosed by law.
9. Service Availability
While we strive to maintain 99.5% uptime for the Service, we do not guarantee uninterrupted access. We may perform maintenance, updates, or emergency repairs that may temporarily affect availability. We will attempt to provide advance notice for scheduled maintenance. We are not liable for any loss or damage resulting from Service interruptions or downtime.
10. Termination & Suspension
Termination by You: You may terminate your account and subscription at any time by notifying us in writing or through your account settings.
Termination by Us: We may suspend or terminate your access to the Service if:
- You violate these Terms or our Acceptable Use Policy
- You fail to pay your subscription fees
- Your account is used for illegal or harmful purposes
- We believe continuation poses a security or legal risk
Upon termination, your subscription is canceled, your access to the Service is revoked, and we will delete your Customer Data as described in Section 6.
11. Disclaimers
The Service is provided "as-is" and "as-available" without warranties of any kind, either express or implied. Evoli Sense disclaims all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties regarding the accuracy, reliability, or completeness of information
- Warranties that the Service will be error-free, uninterrupted, or secure
No Medical Advice: The Clinic CRM Service is a management tool only and does not provide medical advice, diagnosis, or treatment recommendations. Healthcare providers remain solely responsible for medical decisions and patient care.
12. Limitation of Liability
To the maximum extent permitted by law, Evoli Sense shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data loss, business interruption, or lost profits, even if advised of the possibility of such damages.
Our total liability under these Terms is limited to the amount you have paid Evoli Sense in the 12 months preceding the claim, or ₹10,000, whichever is greater.
13. Indemnity
You agree to indemnify, defend, and hold harmless Evoli Sense, its officers, employees, and agents from any claims, damages, losses, liabilities, or expenses arising from:
- Your use of the Service or violation of these Terms
- Your Customer Data or any infringement of third-party rights
- Your breach of applicable laws or regulations
- Any illegal or harmful activities conducted through your account
14. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of India, without regard to conflict of law principles. Any legal proceedings or disputes arising from these Terms or the Service shall be exclusively subject to the jurisdiction of the courts located in Bengaluru, Karnataka, India. Both parties agree to submit to the jurisdiction of these courts and waive any objections on grounds of inconvenient jurisdiction.
15. Enterprise Agreements
For Clinic Enterprise plan customers, certain terms may be modified or supplemented by a separate Enterprise Agreement or Data Processing Agreement (DPA). In the event of a conflict between these Terms and an Enterprise Agreement, the Enterprise Agreement shall prevail.
16. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes become effective. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription.
17. Entire Agreement
These Terms, along with our Privacy Policy and any additional agreements between us, constitute the entire agreement between you and Evoli Sense regarding the Service and supersede all prior negotiations, representations, and agreements.
